1. Parties and Applicability

These Terms of Service ("Terms") constitute a binding agreement between you ("Customer") and Codebit, CVR number DK31845548, Vigerslev Allé 67, 1 tv., 2500 Valby, Denmark ("Codebit", "we", "us") regarding your use of the Duus.ai service ("Service").

The Service is primarily intended for business customers (B2B). By creating an account or using the Service, you accept these Terms.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and accepted these Terms. If you use the Service on behalf of a company, you warrant that you have the authority to bind the company to these Terms.

Your continued use of the Service constitutes acceptance of any changes to the Terms.

3. Service Description

Duus.ai provides an AI-powered customer service platform that includes:

• AI chatbots trained on your company's knowledge base

• Website crawling and document processing

• Chat widget for integration on your website

• Conversation analytics and reporting

• Escalation options to human support

• Webhook integrations

We reserve the right to modify, update, or temporarily suspend the Service for maintenance, security, or legal reasons.

4. User Accounts and Responsibilities

You are responsible for keeping your login credentials confidential and for all activity under your account. You must promptly notify us of any unauthorized use of your account.

You warrant that all information you provide during registration is accurate and up-to-date.

5. Acceptable Use

You may not use the Service for:

• Illegal activities or activities that infringe third-party rights

• Sending spam, unwanted content, or misleading information

• Attempting unauthorized access to systems or data

• Disrupting or overloading the Service's infrastructure

• Collecting personal data without consent

• Fraudulent or malicious activity

6. Subscriptions and Payment

The Service is offered in various subscription plans:

• Starter: For small businesses with basic needs

• Professional: For growing businesses with advanced needs

• Ultra: For larger businesses with extensive needs

Subscriptions are billed monthly or annually via Stripe. Prices are exclusive of VAT unless otherwise stated.

All plans include a 3-day free trial period. You can cancel at any time before the trial period expires without being charged.

After the trial period, payments are non-refundable unless otherwise required by applicable law.

7. Availability

We strive to provide a stable and available Service, but we do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance or unforeseen technical issues.

8. Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data.

Codebit acts as data controller for account and billing data, and as data processor for content you upload to the Service (documents, conversations, etc.).

We comply with GDPR and relevant data protection laws. Data is stored in the EU.

9. Intellectual Property

Codebit owns all rights to the Service, including software, design, logos, and documentation. You may not copy, modify, or distribute any part of the Service without our written consent.

You retain all rights to the content you upload to the Service. By uploading content, you grant us a limited license to process the content as necessary to provide the Service.

10. Warranties and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the extent permitted by law, Codebit's total liability to you is limited to the amount you have paid for the Service in the preceding 12 months.

Codebit is not liable for indirect damages, consequential damages, lost profits, or loss of data.

11. Term and Termination

Your subscription continues until terminated. You can cancel your subscription at any time through your account settings or by contacting us.

Upon cancellation, your account remains active until the end of the current billing period. After that, you can request deletion of your account and data.

We reserve the right to terminate or suspend your account for violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you via email or a notice in the Service at least 30 days before the changes take effect.

Your continued use of the Service after the changes constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by Danish law. Any dispute shall be settled by the Danish courts in Copenhagen.
